Terms of service AUTODERM®

The Autoderm service is provided by the EU Legal Manufacturer, iDoc24 AB, Berzeliigatan 25, 41253 Gothenburg, Sweden and Autoderm Inc., a corporation incorporated in the State of Delaware, USA, with principal offices at 2991 Sacramento St, Unit #183, Berkeley, CA 94702, USA, and European office at Norrsken House Barcelona, Passeig del Mare Nostrum 15, 08039 Barcelona, Spain (these parties are from here on referred to as “Autoderm”)

These Terms govern the relationship between Autoderm and end users who access the Autoderm service through a third-party integrated platform. They do not govern the relationship between Autoderm and deploying organisations (integrators); that relationship is addressed separately under the Autoderm Integrator Agreement. Data processing obligations between Autoderm and integrators are addressed in the applicable Data Processing Agreement under GDPR Article 28.

By using the service you agree to these Terms and to the Autoderm Privacy Notice. If you do not agree, do not use the service.

The service is intended for persons capable of forming legally binding contracts.

Autoderm is an AI-powered dermatological image analysis tool, distributed exclusively via API and made available to end users through third-party integrated platforms.

Autoderm is a medical device. It is CE-marked and currently certified to MDD Class I. The device is classified as Class IIa under Rule 11 of EU MDR 2017/745 and is transitioning to MDR conformity. 

The device description, intended use, intended users, indications for use, contraindications, limitations of the system, and performance specifications are set out in the current Instructions for Use (eIFU), available at autoderm.ai. Users should read the eIFU before using the service.

The service is CE-marked for use in the EU and the United Kingdom. Use in the United States of America is for demonstration purposes only pending FDA clearance; it must not be used by US residents for medical guidance.

You must not use the service:

• in an emergency or acute clinical situation requiring immediate medical attention;
• as a substitute for clinical examination or medical diagnosis;
• as the sole basis for any clinical, referral, or treatment decision;
• by users who lack the cognitive capacity to understand that outputs are informational and not a diagnosis;
• in any way that infringes third-party intellectual property rights, rights of privacy, or applicable law.

You must not attempt to reverse-engineer, decompile, disassemble, or derive the source code of the service, or assist any other person to do so.

The words “diagnosis”, “diagnosing”, and “diagnostic tool” must not be used in connection with Autoderm outputs. Acceptable alternatives include “results”, “assessment”, and “information”.

Autoderm and its licensors own all rights in the service, including the AI model, software, and associated documentation. You are granted a limited, non-exclusive, non-transferable right to use the service for its intended purpose as described in the eIFU.

Images you submit are processed solely for the purpose of returning analysis results. No broader licence over submitted content is granted or claimed. Retention of images for model improvement is subject to separate explicit consent under the Privacy Notice; such consent is revocable at any time in accordance with GDPR Article 7(3).

The processing of personal data in connection with the service is governed by the Autoderm Privacy Notice, available at autoderm.ai, which forms part of these Terms.

Autoderm is the data controller for the processing described in the Privacy Notice. Data protection obligations between Autoderm and integrating organisations are addressed in the applicable Data Processing Agreement.

You may exercise your rights under GDPR (access, rectification, erasure, restriction, objection, portability, and consent withdrawal) by contacting support@autoderm.ai or as described in the Privacy Notice.

Any charges to end users are determined and managed by the integrating third-party organisation. Autoderm is not party to any payment relationship with end users.

Autoderm is a clinical decision support tool for healthcare professionals and an informational tool for laypersons. It does not provide a diagnosis and must not be used as the sole basis for any clinical decision. Performance data is set out in the eIFU.

To the extent permitted by applicable law, the service is provided “as is” without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or uninterrupted availability. Autoderm is not liable for losses arising from reliance on service outputs or from third-party linked content.

To the extent permitted by applicable law, Autoderm ’s liability to end users is limited to direct damages caused by Autoderm inc.’s gross negligence or wilful misconduct.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable mandatory law, including EU consumer protection law.

Autoderm is not liable for decisions made by end users or healthcare professionals in reliance on service outputs.

You agree to indemnify Autoderm against third-party claims arising directly from your misuse of the service in breach of these Terms or the eIFU. This clause does not apply to consumers acting outside a professional or trade capacity to the extent excluded by applicable mandatory law.

Autoderm is accessed via third-party platforms. Autoderm is not responsible for the practices, content, or privacy policies of those platforms.

Where the service directs users to further information resources, Autoderm is not responsible for the accuracy of third-party content. Integrators are responsible for the correctness of any alternative information sources they implement within their platforms.

Serious incidents involving the Autoderm medical device must be reported to Autoderm (support@autoderm.ai) and to the relevant competent authority in your jurisdiction, in accordance with EU MDR 2017/745 Article 87.

Autoderm may update these Terms at any time. Material changes will be communicated via the Autoderm website or through the platform through which you access the service. Continued use of the service following notification of a material change constitutes acceptance of the updated Terms.

The current version of these Terms, the Privacy Notice, and the eIFU are available at autoderm.ai.

Severability: if any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, that provision shall be construed as narrowly as necessary to make it enforceable, and the remainder of these Terms shall continue in full force and effect.

No waiver: failure by Autoderm to enforce any provision of these Terms on any occasion does not constitute a waiver of that provision on any future occasion.

Assignment: Autoderm may assign these Terms to a group company or in connection with a change of control, without notice to you. End users may not assign their rights under these Terms.
